Effective Date: September 16, 2026
These Terms & Conditions (“Terms”) govern your use of dearbeautifulsoul.com and your purchase or use of products, programs, services, memberships, events, resources, and other offerings provided by Dear Beautiful Soul LLC (“Dear Beautiful Soul,” “DBS,” “we,” “our,” or “us”).
Please read these Terms carefully.
By accessing this website, creating an account, purchasing an offering, registering for an event, enrolling in a program or membership, or otherwise using a service that links to these Terms, you agree to be bound by them.
If you do not agree with these Terms, please do not use the Site or purchase our offerings.

If additional terms conflict with these general Terms, the more specific terms governing that particular offering will control.
2. Eligibility
The Site and our paid offerings are intended for adults who are legally able to enter into binding agreements.
By making a purchase, you represent that you are at least 18 years old or otherwise legally authorized to enter into the transaction.
3. Your responsibility
You are responsible for determining whether our content, offerings, practices, and services are appropriate for your needs and circumstances.
Our work is intended to support your reflection, discernment, education, personal development, spiritual exploration, creativity, purpose, leadership, and business development.
You remain responsible for your own decisions, actions, wellbeing, business choices, financial choices, and results.
Our Disclaimer, incorporated into these Terms by reference, contains important information about the scope and limitations of our work.
4. Intellectual property
Unless otherwise stated, the Site and the materials made available through Dear Beautiful Soul are owned by or licensed to Dear Beautiful Soul LLC and are protected by applicable copyright, trademark, and other intellectual-property laws.
This includes, without limitation:
- written content;
- videos and audio recordings;
- photographs and graphics;
- designs and visual assets;
- workbooks and guides;
- exercises and prompts;
- frameworks and methodologies;
- assessments and assessment logic;
- course and program materials;
- meditations and hypnosis recordings;
- presentations;
- downloads;
- templates;
- curriculum;
- names, phrases, marks, symbols, and branding.
This may include proprietary names and frameworks such as Dear Beautiful Soul™, Original Essence Flow™, Mindcreatrix™, Soul Youniversity™, Neuro-Essence Recoding™, Philosophy Formula™, Nine Harmony Gates™, and other marks identified as belonging to Dear Beautiful Soul LLC.
Access to an offering does not transfer ownership of our intellectual property to you.
5. Personal-use license
When you lawfully purchase or receive access to our materials, we grant you a limited, revocable, non-exclusive, non-transferable license to use those materials for your own personal or internal business use, as applicable to the offering.
Unless we give you express written permission, you may not:
- copy or reproduce our materials for others;
- distribute or publicly share them;
- upload them to file-sharing platforms;
- resell them;
- sublicense them;
- teach our proprietary curriculum as your own;
- create competing products substantially derived from our materials;
- remove copyright, trademark, or proprietary notices;
- reproduce our assessments or scoring systems;
- use our materials to train artificial-intelligence systems or datasets;
- scrape, harvest, systematically extract, or republish Site content;
- use our trademarks or proprietary names in a way that suggests affiliation, certification, or endorsement without permission.
You may quote limited portions of publicly available material where permitted by law and with appropriate attribution.
6. Accounts and access
Certain offerings may require an account, login, or member portal.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
Program or membership access is intended for the purchaser only unless an offering expressly states otherwise.
You may not share your login credentials or provide another person with unauthorized access to paid materials.
We may suspend or terminate access when we reasonably believe an account is being shared, misused, used fraudulently, or used in violation of these Terms.
7. Purchases and payment
Prices are displayed in the currency indicated at checkout.
By submitting payment information, you represent that you are authorized to use the payment method provided and authorize us and our payment processors to charge the amounts disclosed at checkout.
You are responsible for applicable taxes, duties, or other charges unless we expressly state otherwise.
Payments may be processed by third-party payment providers. We may not directly receive or store your complete payment-card information.
A transaction is not complete until payment has been successfully processed and we have accepted the order or enrollment.
We reserve the right to decline or cancel an order in cases of suspected fraud, pricing error, technical error, unauthorized purchase, or other legitimate business reason. If we cancel an order after receiving payment, we will refund the applicable amount.
8. Payment plans
Some offerings may allow you to pay a fixed purchase price through installments.
A payment plan is not necessarily a subscription.
Where an offer clearly identifies a payment plan as installments toward a fixed total purchase obligation, choosing installments does not convert the purchase into a month-to-month service that may automatically be abandoned after the first installment.
Unless the specific offer terms state otherwise or applicable law requires otherwise, you remain responsible for the agreed installment payments associated with that purchase.
The total price, number of installments, amount of each installment, and payment schedule will be presented before purchase.
If a scheduled payment fails, we may attempt to process the payment again, contact you to update your payment method, or temporarily suspend access until the account is brought current, subject to applicable law and the specific terms of the offering.
9. Memberships, subscriptions, and automatic renewal
Certain memberships or services may be offered on a recurring basis.
Before enrollment, the applicable checkout or enrollment page will disclose material recurring-payment terms, which may include:
- the recurring price;
- billing frequency;
- length of the renewal period;
- whether the service continues until cancelled;
- any minimum commitment;
- when charges will occur;
- how and when to cancel;
- any applicable trial period.
Where affirmative consent is required, we will obtain it before charging you.
After enrollment, we will provide confirmation of the applicable recurring terms and cancellation information in a form you can retain where required.
You may cancel an automatically renewing membership using the cancellation method identified for that offering.
Cancellation ordinarily prevents future renewal charges after the effective cancellation date. It does not automatically create a refund for amounts already properly charged unless the offering states otherwise or applicable law requires a refund.
Virginia law currently requires covered sellers to present automatic-renewal terms clearly before purchase, obtain affirmative consent, provide an acknowledgment containing the renewal and cancellation terms, and provide an easy-to-use cancellation mechanism that is at least as easy as enrollment.
10. Refunds and cancellations
Refund and cancellation terms may differ among products and services.
The refund, cancellation, withdrawal, transfer, or credit policy applicable to a specific offering will be stated on the relevant sales page, checkout page, registration page, agreement, or other purchase materials when applicable.
Those offer-specific terms form part of your agreement with us.
Where no refund is available for a particular offering, this will be communicated where appropriate before purchase.
Nothing in these Terms limits any refund, cancellation, cooling-off, or consumer right that cannot legally be waived.
11. Digital products and downloadable materials
Digital products may include courses, recordings, guides, workbooks, assessments, templates, meditations, hypnosis recordings, or other downloadable or streamed materials.
Access may be provided for a specified period or for as long as the relevant platform or product remains available, depending on the terms of the offering.
Any reference to “lifetime access” or similar language, if used, means access for the commercial life of that product or platform as reasonably operated by us, not necessarily the purchaser’s lifetime, unless explicitly stated otherwise.
We may update, improve, replace, reorganize, or retire digital content when reasonably necessary.
If a product has a defined access period, that period will be stated in the applicable offer.
12. Programs, courses, memberships, and communities
Our educational programs and communities may include recorded materials, live sessions, group discussions, community platforms, exercises, guest teachers, or other components.
We may reasonably adjust:
- schedules;
- session dates;
- instructors or guest contributors;
- platforms;
- lesson sequencing;
- supporting materials;
- program features;
when necessary to operate or improve the experience.
Any material change will be handled in accordance with applicable law and the specific terms of the offering.
13. Community conduct
If you participate in a Dear Beautiful Soul or Mindcreatrix community, group program, event, retreat, forum, or other shared space, you agree to engage respectfully.
You may not:
- harass, threaten, bully, or discriminate against another participant;
- intentionally disrupt the community;
- solicit participants for unrelated commercial purposes without permission;
- copy or distribute another participant’s confidential sharing;
- record private group discussions without authorization;
- share another participant’s personal information without consent;
- infringe intellectual-property rights;
- engage in fraudulent, unlawful, or abusive conduct.
We may remove content, restrict participation, or terminate access when reasonably necessary to protect participants, our community, our intellectual property, or our business.
Termination for serious misconduct may occur without refund where permitted by law and by the applicable offer terms.
14. Confidentiality in group experiences
We encourage participants in group programs, communities, retreats, and events to respect the privacy of others.
However, Dear Beautiful Soul cannot guarantee that another participant will maintain confidentiality.
You should use discernment when deciding what personal information to share in any group setting.
15. Private work, coaching, mentoring, and advisory services
Private services may be subject to a separate written agreement.
That agreement may address matters including:
- scope of services;
- session scheduling;
- communication;
- payment;
- cancellations and rescheduling;
- confidentiality;
- boundaries;
- intellectual property;
- termination.
Submitting an inquiry or application does not guarantee acceptance for private work and does not itself create a coach-client, practitioner-client, advisory, therapeutic, or fiduciary relationship.
A private professional relationship begins only when both parties agree to the applicable arrangement.
16. Retreats, workshops, and live events
Retreats and in-person or virtual events may be governed by separate terms addressing:
- registration;
- payments;
- cancellation;
- transfers;
- travel;
- accommodations;
- health and safety;
- assumption of risk;
- photography or recording;
- participant conduct;
- force majeure;
- liability waivers.
You may be required to accept additional terms before participating.
Travel arrangements, passports, visas, transportation, insurance, and other personal travel requirements remain the participant’s responsibility unless expressly included in the offer.
17. Physical products
If we sell physical products, product descriptions, pricing, shipping terms, estimated delivery periods, return eligibility, and other applicable conditions will be provided through the relevant product or checkout page.
Product images may vary slightly from the physical item due to materials, production variations, screen settings, or other factors.
Any legally required consumer rights remain unaffected.
18. Testimonials, reviews, and user submissions
If you voluntarily provide a testimonial, review, comment, photograph, written submission, or other content for possible publication, we will obtain or rely upon appropriate permission before using identifiable testimonial material for promotional purposes where required.
Testimonials must reflect genuine experiences and may not contain statements we know to be false or misleading.
We may edit testimonials for grammar, spelling, length, or clarity provided the edit does not materially change the meaning.
If there is a material relationship that legally requires disclosure in connection with an endorsement, that relationship must be disclosed.
FTC guidance requires testimonials and endorsements to be truthful and not misleading, and unusually strong results may require disclosure of what consumers can generally expect rather than relying merely on phrases such as “results may vary.”
19. User-provided content
If the Site allows you to submit comments, posts, questions, reviews, or other materials, you retain ownership of content you create.
By intentionally submitting content for public display or publication, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and distribute that content for the purpose for which it was submitted.
This does not give us ownership of your underlying intellectual property.
You represent that you have the right to submit the material and that doing so does not violate another person’s rights.
20. Affiliate links and third-party relationships
We may occasionally recommend third-party products, books, platforms, services, practitioners, or resources.
Some links may be affiliate links through which Dear Beautiful Soul may receive compensation if you make a purchase.
Where legally required, we will disclose material relationships clearly.
You are responsible for evaluating third-party products and services before purchasing or relying upon them.
21. Third-party websites and platforms
Our Site or offerings may link to or rely upon services operated by third parties, such as:
- payment processors;
- email providers;
- community platforms;
- video platforms;
- website plugins;
- scheduling tools;
- social networks;
- event platforms.
We do not control those third parties and are not responsible for their independent terms, privacy practices, availability, security, or content.
Use of those services may also be governed by their own terms.
22. Availability and technical interruptions
We aim to keep our Site and digital offerings reasonably available, but uninterrupted or error-free access cannot be guaranteed.
Access may occasionally be interrupted because of maintenance, hosting issues, platform changes, security incidents, internet failures, events outside our control, or other technical reasons.
We may make reasonable modifications to maintain, secure, or improve our systems and services.
23. Prohibited use of the Site
You may not use this Site or our services to:
- violate applicable law;
- infringe another person’s rights;
- transmit malware or harmful code;
- attempt unauthorized access to systems or accounts;
- impersonate another person;
- interfere with Site security or operation;
- scrape or systematically harvest protected content without permission;
- conduct fraudulent transactions;
- reproduce or commercially exploit proprietary materials without authorization.
24. Disclaimer of warranties
To the maximum extent permitted by law, the Site and its content are provided on an “as is” and “as available” basis.
We make no warranty that the Site will always be uninterrupted, error-free, completely secure, or suitable for every individual purpose.
We do not guarantee particular personal, spiritual, emotional, career, business, income, healing, or other outcomes.
Nothing in this provision excludes warranties or consumer protections that cannot legally be excluded.
25. Limitation of liability
To the maximum extent permitted by applicable law, Dear Beautiful Soul LLC and its owners, officers, employees, contractors, instructors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Site or our offerings.
Where liability cannot legally be excluded, our liability will be limited only to the extent permitted by applicable law.
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
26. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Dear Beautiful Soul LLC from third-party claims, damages, liabilities, or reasonable expenses arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another party’s rights.
This provision does not apply where prohibited by applicable consumer law.
27. Force majeure
We will not be responsible for delay or failure to perform caused by circumstances reasonably beyond our control, including natural disasters, severe weather, public-health emergencies, war, civil disturbance, government action, utility or internet outages, platform failures, labor disruptions, venue closures, or other comparable events.
For a retreat, event, program, or service affected by such circumstances, any rescheduling, credit, cancellation, or refund terms will be determined by the applicable offer-specific agreement and applicable law.
28. Privacy
Our collection and use of personal information are governed by our Privacy Policy.
By using the Site, you acknowledge that you have had an opportunity to review that policy.
29. Disclaimer
Our Disclaimer explains important limitations relating to health and mental-health information, hypnosis, meditation, spiritual and metaphysical teachings, neuroscience, purpose and career guidance, business education, earnings, testimonials, and other areas of our work.
The Disclaimer forms part of these Terms.
30. Changes to these Terms
We may update these Terms when our business, services, technology, or legal obligations change.
The Effective Date at the top of this page will identify the most recent version.
Material changes will be communicated when required by law.
Changes will not retroactively alter completed transactions or existing contractual rights where doing so would be prohibited.
31. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia and applicable federal law, without regard to conflict-of-law principles, except to the extent that mandatory consumer laws in your place of residence apply.
Nothing in these Terms deprives a consumer of rights that cannot lawfully be waived.
32. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
33. No waiver
Our failure to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision or any other provision.
34. Entire agreement
These Terms, together with our Privacy Policy, Disclaimer, and any additional terms applicable to a particular purchase or service, form the agreement governing your use of the Site and relevant offerings.
